This page contains the Terms of Use and the Privacy Policy for the Vendor Stall Directory. The Vendor Stall Marketplace is a separate service with separate accounts and its own legal page.

Terms of Use

1. Acceptance of These Terms

These Terms of Use ("Terms") are an agreement between you and Vendor Stall ("Vendor Stall," "we," "us," or "our") and apply to your use of the Vendor Stall Directory at https://www.vendorstall.com/directory (the "Directory"), including any related mobile apps. By creating an account or using the Directory, you agree to these Terms and to the Privacy Policy below. If you do not agree, do not use the Directory.

2. What the Directory Is

The Directory helps resellers, including Vendor Stall Marketplace sellers, find suppliers that provide products for resellers to sell. Suppliers create business listings. Vendor Stall is not a supplier, does not sell or ship products, and is not a party to any agreement between a supplier and a reseller. We do not verify suppliers, their products, or their claims, and we do not guarantee that any product can be resold or will sell.

3. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Directory. If you use the Directory on behalf of a business, you confirm that you are authorized to accept these Terms for that business.

4. Accounts

You must give accurate information when you register and keep it up to date. You are responsible for keeping your password confidential and for all activity on your account. Tell us right away through the contact page if you believe your account has been used without your permission. Marketplace and Directory accounts are separate.

5. Listings and Using the Directory

Suppliers must be authorized to list their business, keep their listings accurate and current, and honor any coupons or offers they post. Resellers are responsible for checking a supplier before doing business with it and for making sure they may lawfully resell the products they buy. Any order or deal is solely between the supplier and the reseller.

6. Fees

Browsing the Directory and contacting suppliers is free. Some features, such as paid listing plans and featured placement, may carry fees, which are shown before you buy. Fees are charged in U.S. dollars through third-party payment processors and are non-refundable unless required by law. Subscriptions renew automatically until you cancel. We may change fees by posting the new fees on the Directory.

7. Your Content and License

"Your content" means anything you post or send through the Directory, such as listings, logos, photos, descriptions, coupons, reviews, and messages. You keep ownership of your content. You give Vendor Stall a non-exclusive, worldwide, royalty-free license to host, copy, display, adapt, and distribute your content to operate and promote the Directory. You confirm that you have the rights to post your content and that it does not violate these Terms or anyone else's rights. We may remove any content at any time.

8. Prohibited Conduct and Items

You may not:

break any law or anyone else's rights;
list or promote products that are illegal, counterfeit, stolen, recalled, or hazardous, or products that infringe intellectual property;
post false, misleading, or fraudulent listings, reviews, or claims;
post fake reviews, review your own business, or manipulate rankings;
harass, threaten, or abuse others, or post obscene or hateful material;
send spam or use other members' information for anything other than responding to an inquiry or doing business with them;
scrape the Directory, use bots, upload malware, or interfere with our systems.

Listings in the Adult category must be lawful and must supply only buyers of legal age.

9. Copyright Notices

If you believe content on the Directory infringes your copyright, send us a notice through the contact page that includes: your name and contact information; a description of the copyrighted work; the location (URL) of the material; a statement that you believe in good faith the use is not authorized; a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner; and your physical or electronic signature. We will remove infringing material and may terminate the accounts of repeat infringers.

10. Termination

We may suspend or terminate your account, or remove listings, reviews, or coupons, at any time if we believe you have broken these Terms or the law, or to protect members or Vendor Stall. You may stop using the Directory and ask us to close your account at any time. Sections on content, fees owed, disclaimers, liability, and indemnity continue after termination.

11. No Warranty

The Directory is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent allowed by law. We do not guarantee that the Directory will be uninterrupted or error-free, or that any listing, supplier, coupon, or review is accurate.

12. Limitation of Liability

To the fullest extent allowed by law, Vendor Stall is not liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Directory or from any dealings between suppliers and resellers. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim or US $100.

13. Indemnity

You agree to defend and hold harmless Vendor Stall from any claims, losses, and expenses, including reasonable legal fees, arising from your content, your listings, products, and dealings with other members, or your breach of these Terms.

14. Governing Law

These Terms are governed by the laws of the United States of America and, where required, the laws of the applicable state.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a new effective date. If you keep using the Directory after a change, you accept the updated Terms.

Privacy Policy

1. Information We Collect

Account information, such as your name, email address, and password.
Listing information, such as business name, address, phone, website, photos, descriptions, and coupons, plus reviews and messages you send to suppliers.
Payment information, which is handled by third-party payment processors. We do not store full card numbers.
Messages you send us through the contact page, and your email address if you subscribe to our newsletter.
Technical information, such as IP address, browser and device type, pages viewed, and cookie data.

2. How We Use Information

We use information to run the Directory; manage accounts; publish listings and reviews and deliver inquiries to suppliers; process fees; prevent fraud and abuse; provide support; send account notices and, if you choose, newsletters; show ads; improve our services; and meet legal obligations.

3. How We Share Information

With other members and the public: listings, coupons, and reviews are public. Messages and inquiries you send are delivered to the supplier you contact.
With service providers that help us operate, such as hosting, email, analytics, and payment providers, and third-party advertising partners.
For legal reasons: to comply with the law, respond to lawful requests, or protect the rights and safety of members, the public, or Vendor Stall.
In connection with a sale or transfer of our business.

We do not sell your personal information for money.

4. Cookies and Ads

We use cookies and similar technologies to keep you signed in, remember your preferences, and understand how the Directory is used. The Directory shows ads. Third-party advertising partners may use cookies to show ads, including ads based on your visits to this and other websites, and to measure them. You can opt out of interest-based ads at https://optout.aboutads.info. You can block or delete cookies in your browser settings, but some features may not work. We do not currently respond to browser "Do Not Track" signals.

5. Email

Every marketing email we send includes an unsubscribe link, and we honor unsubscribe requests promptly as required by the CAN-SPAM Act. Account and transaction notices are part of the service. The Marketplace and Directory newsletters are separate.

6. Security

We use reasonable safeguards to protect your information, but no method of transmission or storage is completely secure.

7. Data Retention

We keep personal information as long as your account is active and as long as needed to provide the service, resolve disputes, enforce our Terms, and meet legal, tax, and accounting requirements. After that, we delete it or make it anonymous.

8. Children's Privacy

The Directory is for users 18 and older. We do not knowingly collect personal information from children under 13, in line with the Children's Online Privacy Protection Act (COPPA). If you believe a child has given us information, contact us and we will delete it.

9. Your Privacy Rights

You can update your account information at any time and unsubscribe from marketing emails. Depending on where you live, including California and other states with privacy laws, you may have the right to know what personal information we collect, to access, correct, or delete it, and to opt out of its sale or use for targeted advertising. To make a request, use the contact page. We will not discriminate against you for using these rights.

Zip code, city and state information on Vendor Stall is provided by GeoNames (geonames.org) and is licensed under the Creative Commons Attribution 4.0 License.

11. Changes to This Policy

We may update this Privacy Policy from time to time. We will post the updated version on this page with a new effective date.
